Overview
Kelly counsels employers on employee benefits and executive compensation, including their obligations under the Affordable Care Act, ERISA and the Internal Revenue Code. Her work spans qualified and nonqualified retirement plans, employee stock ownership plans (ESOPs), health and welfare plans, wellness programs and severance plans. She prepares plan documents, amendments and summary plan descriptions, and advises on ERISA fiduciary obligations involving plan investments and prohibited transactions.
Kelly also works with companies to design and draft executive compensation arrangements, including equity plans, nonqualified deferred compensation plans, supplemental executive retirement plans (SERPs) and executive employment agreements. Her practice includes negotiating third-party administrator service agreements and helping clients correct plan errors through voluntary correction programs administered by the Department of Labor and the Internal Revenue Service.
Before practicing law, Kelly oversaw the design and administration of all benefits and compensation programs for two large multinational companies. In a corporate role, she managed the transition of benefits and compensation programs during a spin-off and initial public offering. Earlier, she spent ten years at a human resource consulting firm advising clients on executive compensation. Her corporate human resources background informs how she considers the effects of legal matters on an organization and helps clients address issues proactively.
Outside her practice, Kelly volunteers as a board member of TriCity Family Services, a local community mental health agency.
