Overview

David Jermann co-chairs the firm’s Franchising and Distribution practice. He counsels and represents franchisors and franchisees on disputes, agreements, disclosure documents and regulatory compliance. His litigation work includes claims involving breaches of franchise and distribution agreements, franchise terminations, and alleged violations of franchise disclosure, relationship and business opportunity laws. He has litigated franchise disputes in numerous states.

David also advises clients on the terms and risks of their franchise arrangements. For a multi-brand Fortune 500 franchisor, he led a review of three decades of franchise agreements to assess the risks associated with proposed unilateral revisions. His broader counseling work includes contract negotiation and formation, state and federal regulatory issues, and strategies to avoid or mitigate litigation risk.

Across his practice, David has represented businesses in litigation and arbitration in jurisdictions throughout the country. His matters have involved restrictive covenants, trademark infringement, trade secret theft, breaches of contract and consumer class actions, including multimillion-dollar class action lawsuits. His experience spans trial, arbitration, mediation and appeals; he has served as lead trial counsel, managed large-scale e-discovery, taken and defended depositions, and prepared trial and appellate briefs.

In addition to disputes, David counsels business clients on transactional matters, particularly restrictive covenant policies, and on the interpretation and enforcement of employment agreements. His regulatory counseling has addressed state consumer protection and unfair practices laws, federal franchise regulation and HIPAA. Within the firm, he serves on the hiring and conflicts and ethics committees and has been selected to train and mentor junior attorneys.
