Overview

Andrew Rosell advises investment managers, family offices, and professional and institutional investors on the legal and business issues they encounter in the investment industry. He chairs Winstead’s Investment Management & Private Funds Industry Group and has a corporate and securities practice representing investment fund managers, wealth managers, family offices, and private companies. His work is informed by more than eight years as General Counsel and Chief Compliance Officer of Kleinheinz Capital Partners, Inc., a multi-billion-dollar SEC-registered investment adviser, and by his earlier experience as a staff auditor at Ernst & Young, where he focused on real estate audit and consulting.

Andrew’s investment management practice centers on registered investment advisers. He counsels them on formation and structuring, regulatory compliance, fund formation and liquidation, and business cessation. His transactional work includes seed deals and growth acceleration transactions, strategic mergers and acquisitions, investment portfolio transactions, and due diligence. He also advises on the regulatory and securities law issues associated with digital-asset investments and on cybersecurity matters involving the sensitive client data held by investment advisers. Having worked within an investment adviser and in accounting, Andrew brings an understanding of operations, trading, investment strategy, and transaction accounting to this work.

Beyond investment management, Andrew regularly represents companies in the oil and gas and healthcare industries. He often acts as outside general counsel for those businesses, addressing corporate governance, contract negotiations, and merger and acquisition transactions.

Andrew serves on the board of trustees and Audit Committee of Cook Children’s Medical Foundation and on the boards of Cook Children’s Medical System and Cook Children’s Health Plan. He is a founding board member of the STREAM Foundation, which provides scholarship and internship opportunities in asset management to students from underrepresented groups. He also serves on the boards of the Texas Alternative Investment Association and Capital for Kids. In Fort Worth, he served on the city’s Ad Hoc Gas Well Revenue Advisory Committee in 2005 and currently serves on its Entrepreneurship and Innovation Committee.
