Overview
Marcy Hahn-Saperstein advises hospitals, senior living facilities, physician groups and other healthcare providers as outside general counsel. Her practice draws on experience in healthcare finance and as in-house general counsel to a hospital system, giving her a perspective on the business and legal issues providers encounter in their operations. At Akerman, Marcy is Deputy Chair of the Healthcare Practice Group and Co-Chair of its Senior Living & Care Sector Team.
Much of Marcy’s work concerns the transactions and agreements through which healthcare providers organize, acquire and operate their businesses. She structures, drafts and negotiates equity and asset purchases, mergers, restructurings and joint ventures, and performs regulatory analyses for those transactions. Her work also encompasses operations transfer agreements; facility and equipment leases; professional and administrative services agreements; and facility management agreements. Beyond transactions, she advises on other agreements arising in providers’ day-to-day operations.
Marcy also assists clients with licensing, including securing regulatory approvals for initial licensure and for changes of ownership associated with mergers and acquisitions. Her corporate governance counsel includes preparing shareholder agreements, operating agreements and buy/sell agreements. Together, these aspects of her practice bring transactional, regulatory and operational considerations into her work for healthcare providers.
Before serving as outside counsel, Marcy was interim general counsel and secretary for Boca Raton Regional Hospital and its affiliates. Earlier, before entering the legal profession, she worked as a commercial healthcare banker for the U.S. subsidiary of National Westminster Bank, where she managed a nine-figure loan portfolio to the healthcare industry. That combination of in-house legal and banking experience informs her approach to the business and regulatory challenges facing healthcare organizations.
