Overview
Michael Bradshaw advises on public finance transactions, serving as bond counsel, special tax counsel and counsel to financial institutions. His municipal bond and debt work spans tax-exempt and taxable bonds and loans, general obligation and revenue bonds, and working capital financings. He works with state and local governmental entities, private developers, nonprofit organizations and other participants on public, private and public-private projects, considering financing options in the context of each project.
A significant part of Michael’s practice involves financing for 501(c)(3) organizations and other entities, including hospitals, educational institutions and service organizations. He has acted as bond counsel and counsel to these organizations in transactions using tax-exempt 501(c)(3) bonds and new markets tax credits. His public finance experience also includes residential rental housing; water, sewer and wastewater systems; natural gas, electricity and other energy projects; and municipal lease-purchase transactions.
Michael counsels governmental entities, developers and nonprofit organizations on public-private partnerships involving transportation infrastructure, healthcare and retail facilities, sports facilities, hotels, conference centers, office buildings and nonprofit projects. He has also represented public entities and private for-profit and nonprofit developers in urban renewal bond issues intended to help municipalities rehabilitate and revitalize areas within their communities.
Beyond the initial financing, Michael has represented municipal issuers, conduit borrowers, trustees and creditors in post-issuance matters, including municipal bond defaults and workouts. He has advised municipal issuers, conduit borrowers and finance professionals on Internal Revenue Service examinations and Voluntary Compliance Agreement Program requests. His work with developers and financial institutions also addresses federal and state tax incentives, including new markets, renewable energy and low-income housing tax credits, tax increment financing and payment-in-lieu-of-tax agreements.
